These Terms of Service ("Terms") govern your use of the VaultSphere NZ Limited ("VaultSphere NZ," "we," "our," or "us") website and services. By accessing or using our services, you agree to be bound by these Terms.

Acceptance of Terms

By accessing and using our website and services, you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

These Terms apply to all visitors, users, and others who access or use our services.

Description of Services

VaultSphere NZ provides secure offline data storage, media vaulting, disaster recovery, and related data management services. Our services include physical storage of data carriers, certified data custody, and international storage solutions.

We reserve the right to modify, suspend, or discontinue any aspect of our services at any time with appropriate notice to our clients.

User Responsibilities and Conduct

You are responsible for maintaining the confidentiality of your account information and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

You agree not to use our services for any unlawful purpose or in any way that could damage, disable, overburden, or impair our services or interfere with any other party's use of our services.

Data Storage and Security

We implement industry-standard security measures to protect your data. However, no method of transmission over the internet or electronic storage is 100% secure, and we cannot guarantee absolute security.

You acknowledge that you are responsible for maintaining appropriate backups of your data and that our storage services are intended to supplement, not replace, your own data protection measures.

Service Availability and Performance

While we strive to maintain high service availability, we do not guarantee uninterrupted access to our services. We may experience downtime for maintenance, upgrades, or due to circumstances beyond our control.

We provide service level agreements (SLAs) for our enterprise clients that specify availability targets and remedies for service interruptions.

Fees and Payment Terms

Fees for our services are as specified in your service agreement or as posted on our website. All fees are exclusive of applicable taxes unless otherwise stated.

Payment is due according to the terms specified in your service agreement. Late payments may result in service suspension and additional charges.

Intellectual Property Rights

The content, features, and functionality of our website and services are owned by VaultSphere NZ and are protected by international copyright, trademark, and other intellectual property laws.

You retain ownership of your data stored with us, and we claim no intellectual property rights over your content.

Limitation of Liability

To the maximum extent permitted by law, VaultSphere NZ shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses.

Our total liability for any claims arising from or related to our services shall not exceed the amount paid by you for the services during the twelve months preceding the claim.

Indemnification

You agree to defend, indemnify, and hold harmless VaultSphere NZ and its officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or debt arising from your use of our services.

This indemnification obligation will survive termination of these Terms and your use of our services.

Termination

We may terminate or suspend your access to our services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

Upon termination, your right to use our services will cease immediately, and we will provide reasonable assistance in retrieving your stored data subject to our data retention policies.

Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of New Zealand. Any disputes arising from these Terms or our services shall be resolved through binding arbitration in Auckland, New Zealand.

You agree to waive any right to a jury trial and to participate in class action lawsuits.

Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days notice prior to any new terms taking effect.

Your continued use of our services after any changes indicates your acceptance of the updated Terms.
